These terms govern use of the Srithar Innovation Labs website and pre-contract interactions with SRITHAR INNOVATION LABS LLP. Separate written agreements apply to confirmed orders and projects.
1. Introduction and acceptance
These Terms and Conditions ("Terms") govern access to and use of the website srithar.com and related pages (the "Website") operated by SRITHAR INNOVATION LABS LLP ("Srithar", "we", "us", or "our"), a limited liability partnership incorporated in India with its registered office at Plot No 213, 1st East Cross Street, Anna Nagar, Madurai, Tamil Nadu 625020, India (GSTIN: 33AFQFS6150Q1Z7).
By accessing or using the Website, submitting a contact or request-for-quote (RFQ) form, or engaging with us in relation to products or services described on the Website, you agree to these Terms. If you do not agree, do not use the Website.
These Terms are written primarily for business and professional users (B2B). Where you act as a consumer in the European Economic Area (EEA), United Kingdom, or Switzerland, mandatory consumer protection laws may apply in addition to these Terms and cannot be waived by contract to the extent they are mandatory.
Our Privacy Policy explains how we handle personal data and forms part of your relationship with us when you use the Website.
2. What we provide
Srithar designs, develops, manufactures, and tests original equipment and electronics for industrial, IoT, and embedded applications. Through the Website we provide:
- Information about our product lines, capabilities, and engineering services.
- Means to contact us and submit RFQs for standard products, custom OEM programmes, or services.
- Technical descriptions, specifications, and downloadable materials where made available.
The Website is not a retail e-commerce checkout. Unless we expressly agree otherwise in writing, purchases and projects are concluded only under separate quotations, purchase orders, and/or contracts.
3. Use of the Website
You agree to use the Website only for lawful purposes and in accordance with these Terms. You must not:
- Use the Website in any way that violates applicable law in India, the EU, the UK, or your country of residence.
- Attempt to gain unauthorised access to our systems, networks, or data.
- Introduce malware, scrape or harvest data by automated means without our prior written consent, or overload our infrastructure.
- Misrepresent your identity, affiliation, or authority when submitting forms or communications.
- Copy, reproduce, or exploit Website content except as permitted by law or with our written permission.
We may suspend or restrict access to the Website at any time for maintenance, security, or operational reasons without liability to you.
4. Information on the Website
We endeavour to keep product descriptions, specifications, and service information accurate and current. However, the Website is provided for general information only. Dimensions, performance figures, certifications, lead times, and availability may change without notice.
Technical data sheets and sample content may contain placeholders or illustrative values until superseded by a formal quotation or data sheet issued for your project. You should verify critical parameters with our engineering team before relying on them for design-in or procurement decisions.
Nothing on the Website constitutes engineering advice, a guarantee of fitness for a particular purpose, or an offer capable of acceptance without our written confirmation.
5. Inquiries, RFQs, and quotations
Submissions through Contact or RFQ forms are invitations to treat, not binding orders. We are not obliged to respond, quote, or accept any inquiry.
Quotations, pro forma invoices, and email confirmations are valid only for the period stated therein and subject to stock, engineering review, export controls, and our standard commercial terms unless expressly varied in writing by an authorised signatory of Srithar.
You are responsible for the accuracy of information you provide (including specifications, quantities, end-use, and destination). We may decline or condition projects that present export, safety, regulatory, or reputational concerns.
6. Orders and contracts
A binding contract arises only when both parties have agreed in writing, typically through a signed purchase order accepted by us, a formal agreement, or written order confirmation that references agreed terms.
If there is a conflict between these Website Terms and a written contract or order confirmation for a specific transaction, the written contract or order confirmation prevails for that transaction.
Standard terms printed on your purchase order or other documents do not apply unless we expressly agree in writing.
7. Pricing, taxes, and payment
Prices on the Website, if shown, are indicative only unless confirmed in a quotation. Unless stated otherwise, quotations are exclusive of taxes, duties, shipping, insurance, and banking charges.
For supplies in India, applicable goods and services tax (GST) and other statutory levies will be charged as required by law. For cross-border supplies, import duties, VAT, and customs formalities are generally the responsibility of the importer unless agreed otherwise (e.g. under specified Incoterms).
Payment terms, currencies, and methods will be specified in our quotation or invoice. We may require advance payment, letters of credit, or other security for new customers or large/custom projects. Late payment may attract interest and suspension of deliveries as permitted by law.
8. Delivery, title, and risk
Delivery dates are estimates unless guaranteed in writing. We are not liable for delays caused by events outside our reasonable control (see Section 15).
Title and risk in goods pass in accordance with the Incoterms or delivery terms agreed in writing. If none are agreed, for domestic India shipments risk typically passes on delivery to your carrier or premises; for international shipments parties should agree Incoterms (e.g. EXW Madurai, FOB, CIP) explicitly.
You must inspect goods promptly on receipt and notify us of apparent damage or shortage within a reasonable period stated in our order confirmation or, if none, within seven (7) days of delivery.
9. Specifications, development, and testing services
Custom OEM, product development, firmware, and testing services are scoped in project documentation (statements of work, specifications, or service agreements). Changes to scope may affect price and schedule.
You grant us the information and cooperation reasonably necessary to perform services. You warrant that materials and instructions you supply do not infringe third-party rights and are lawful for the intended use.
Unless agreed otherwise, deliverables such as design files remain our property until full payment; upon full payment you receive the licence or assignment specified in the project agreement.
10. Warranties and disclaimers
Limited product warranty
Where we supply physical products under contract, we warrant that they will materially conform to the agreed specifications for the warranty period stated in the order confirmation or, if none, ninety (90) days from delivery. Remedies are limited to repair, replacement, or credit at our option.
The warranty does not cover misuse, unauthorised modification, improper installation, normal wear, consumables, or damage after risk has passed to you.
Disclaimer
Except as expressly stated in a written agreement, the Website and any pre-contract information are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, satisfactory quality, or fitness for a particular purpose, to the fullest extent permitted by law.
EEA / UK consumers and mandatory rights
If you are a consumer in the EEA or UK, you may have statutory rights regarding digital content, goods, and services that cannot be excluded. Nothing in these Terms affects those mandatory rights. For business customers in the EEA/UK, mandatory liability rules that cannot be contracted away also remain unaffected.
11. Limitation of liability
To the fullest extent permitted by applicable law, neither party shall be liable to the other for indirect, incidental, special, consequential, or punitive loss, or for loss of profit, revenue, business, goodwill, or anticipated savings.
Subject to the paragraphs below, our total aggregate liability arising out of or in connection with the Website or any contract governed by these Terms (whether in contract, tort, negligence, or otherwise) shall not exceed the greater of: (a) the amounts paid by you to us for the specific products or services giving rise to the claim in the twelve (12) months preceding the event; or (b) INR 500,000 (Indian Rupees five lakh).
We do not limit liability for: (i) death or personal injury caused by our negligence; (ii) fraud or fraudulent misrepresentation; or (iii) any liability that cannot be limited under applicable law, including mandatory consumer rights in the EEA/UK.
You are responsible for evaluating suitability of products and services for your application. We are not liable for losses arising from your failure to test, integrate, or certify end products as required by your industry or regulators.
12. Intellectual property
All Website content, trademarks, logos, documentation, and underlying technology are owned by Srithar or our licensors. No licence is granted except for viewing the Website and downloading materials expressly offered for download.
Our pre-existing tools, libraries, and know-how remain our property. Project-specific deliverables are licensed or assigned only as set out in the relevant contract.
If you provide feedback or suggestions, you grant us a perpetual, royalty-free licence to use them without obligation to you, unless a separate NDA or agreement states otherwise.
13. Confidentiality
Business and technical information exchanged in RFQs and projects may be confidential. Each party will use reasonable care to protect the other’s confidential information and use it only for the permitted purpose.
Confidentiality obligations do not apply to information that is public without breach, independently developed, or rightfully received from a third party. Disclosure may be made where required by law or court order, with notice where legally permitted.
14. Export control and compliance
Products and technology may be subject to Indian export regulations and import controls in destination countries. You represent that you will comply with applicable export, import, sanctions, and end-use laws.
Srithar holds IEC 653331 where required for international trade. We may refuse or delay fulfilment if shipments would violate applicable law.
15. Force majeure
Neither party is liable for failure or delay in performance (other than payment obligations already due) caused by events beyond reasonable control, including natural disasters, war, terrorism, civil unrest, epidemics, government actions, labour disputes, or critical shortages of materials or transport.
The affected party will notify the other and use reasonable efforts to resume performance. If an event continues for more than ninety (90) days, either party may terminate the affected order upon written notice without penalty except payment for work performed and accepted.
16. Suspension and termination
We may suspend Website access or terminate a commercial relationship if you breach these Terms, fail to pay, or engage in conduct harmful to our business or reputation.
Termination of a specific order or contract is governed by that contract. Provisions that by nature should survive (including confidentiality, IP, liability limits where permitted, and governing law) survive termination.
17. Governing law and disputes
Governing law
These Terms and any non-contractual obligations arising from them are governed by the laws of India, without regard to conflict-of-law rules that would refer to another jurisdiction.
Dispute resolution and exclusive jurisdiction
Parties shall first attempt in good faith to resolve disputes through negotiation. If unresolved within thirty (30) days, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996 (India), seated in Madurai, Tamil Nadu, in English, before a sole arbitrator mutually appointed or, failing agreement, appointed in accordance with the Act.
All legal proceedings arising from or relating to these Terms — including interim or injunctive relief, enforcement of arbitral awards, and any court proceedings — shall be brought exclusively in the courts in Madurai, Tamil Nadu, India. You irrevocably submit to the exclusive jurisdiction of those courts and waive any objection to venue or forum, including any claim that Madurai is an inconvenient forum.
18. Electronic communications
You consent to receive communications electronically (email, Website notices). You agree that electronic records and signatures satisfy legal writing and signature requirements where recognised under applicable law, including the Indian Information Technology Act, 2000 and relevant EU eIDAS principles where applicable to B2B transactions.
19. General provisions
- Assignment: You may not assign rights or obligations without our written consent. We may assign to an affiliate or successor in connection with a reorganisation.
- Severability: If any provision is invalid, the remainder stays in effect and the invalid provision is replaced by a valid one closest to the intent.
- Waiver: Failure to enforce a provision is not a waiver of future enforcement.
- Entire agreement (Website): These Terms, together with the Privacy Policy, constitute the entire agreement regarding use of the Website, excluding separate written commercial contracts.
- Language: These Terms are in English. Any translation is for convenience; the English version controls to the extent permitted by law.
20. Changes to these Terms
We may update these Terms by posting a revised version on the Website with a new "Last updated" date. Continued use after changes constitutes acceptance where permitted by law. For existing written contracts, the contract terms prevail for that transaction.
